DEVLAUNCH BUILD COMMERCIAL SOURCE LICENSE
Version 1.0 — September 3, 2026

This license is an agreement between HYPERCAT STUDIO LLC, doing business as DevLaunch ("DevLaunch"), and the person or legal entity that purchased a valid DevLaunch Build license ("Licensee"). By purchasing, downloading, installing, copying, or using Build, Licensee accepts these terms.

1. DEFINITIONS

"Build" means the DevLaunch Build source package delivered with this license, excluding Third-Party Materials.

"Third-Party Materials" means software, documentation, fonts, assets, and other materials identified in THIRD_PARTY_NOTICES.md or carrying their own license.

"Authorized Users" means Licensee's employees and individual contractors who need source access to work for Licensee, are bound to protect it, and may use it only for Licensee's permitted purposes.

"Differentiated Product" means a product or service that materially adapts Build for a particular market, customer, workflow, integration, or user experience. Changing only a name, logo, colors, domain, or other branding is not material adaptation.

"Client Implementation" means a materially customized deployment or source delivery created by Licensee for one identified client and that client's own internal business or customer-facing use.

2. COMMERCIAL LICENSE GRANT

Subject to payment and continued compliance with this license, DevLaunch grants Licensee a perpetual, worldwide, non-exclusive, non-transferable license to:

a. install, run, inspect, modify, and make internal copies of Build;
b. allow Authorized Users to do the same for Licensee;
c. use Build to create and operate Differentiated Products;
d. charge customers to access Licensee's hosted Differentiated Products;
e. create, host, maintain, and charge for Client Implementations; and
f. deliver a Client Implementation's materially customized source to its identified client if the client agrees in writing not to redistribute, sublicense, publish, or resell Build or that source as a builder codebase, template, starter kit, or competing downloadable product.

Licensee owns the original applications and other output it creates through Build. DevLaunch claims no ownership of that generated output merely because Build created, edited, previewed, stored, or exported it.

3. RESTRICTIONS

Except for rights that an applicable Third-Party Materials license grants, Licensee may not:

a. sell, sublicense, publish, share, transfer, or redistribute the Build source package or access credentials for it;
b. offer Build, or a substantially unchanged copy, as a codebase, template, starter kit, source download, repository, or competing app-builder product;
c. provide source access to anyone other than Authorized Users and the single identified client receiving a permitted Client Implementation;
d. remove or conceal copyright, attribution, trademark, or license notices;
e. use DevLaunch, Build, Cloudflare, or third-party names or marks to imply endorsement, sponsorship, or an official partnership; or
f. use Build unlawfully or in violation of a third-party service's terms.

Licensee may not avoid these restrictions through an affiliate, contractor, customer, hosting arrangement, or substantially similar reimplementation.

4. THIRD-PARTY MATERIALS

Third-Party Materials are not relicensed under this commercial license. Their own licenses control them, including the Cloudflare VibeSDK portions provided under the MIT License reproduced in CLOUDFLARE_MIT_LICENSE.txt. If this license conflicts with a Third-Party Materials license, the third-party license controls only that Third-Party Material. Licensee is responsible for preserving required notices and complying with all third-party terms.

5. ACCOUNTS, COSTS, SECURITY, AND COMPLIANCE

Build is self-hosted source software, not a managed DevLaunch SaaS account. Licensee supplies and pays for hosting, domains, model providers, Cloudflare and other third-party services. Licensee is responsible for deployment, identity, access controls, security, backups, monitoring, data handling, customer support, human review of AI-assisted output, and compliance with applicable laws and third-party terms.

6. VERSION, UPDATES, COACHING, AND SUPPORT

This license covers the version delivered for the applicable purchase. It does not promise future versions, updates, maintenance, compatibility, uptime, custom development, managed deployment, or any support response time. Any coaching session described at purchase is a separate limited benefit and is not an ongoing support or implementation service.

7. OWNERSHIP AND MARKS

DevLaunch and its licensors retain their respective rights in Build, Third-Party Materials, documentation, branding, and trademarks. No ownership is transferred except Licensee's ownership of its original generated output and other rights expressly granted here.

8. CONFIDENTIAL SOURCE AND RECORDS

Licensee will use reasonable safeguards to prevent unauthorized source access and will remain responsible for Authorized Users. On reasonable request after a suspected violation, Licensee will identify the purchased version and the people or clients to whom it supplied source access. This does not require disclosure of customer confidential information unrelated to license compliance.

9. TERMINATION

This license terminates automatically if Licensee materially breaches it and does not cure the breach within 14 days after written notice, unless the breach cannot reasonably be cured. On termination, Licensee must stop using and distributing Build and delete copies under its control, while end users may continue using already deployed Client Implementations that do not expose Build source. Sections 3, 4, and 7 through 12 survive termination.

10. DISCLAIMER OF WARRANTIES

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BUILD IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, SECURITY, RELIABILITY, OR ERROR-FREE OPERATION. DEVLAUNCH DOES NOT GUARANTEE RESULTS, REVENUE, COMPATIBILITY, OR CONTINUED THIRD-PARTY SERVICE AVAILABILITY. NON-WAIVABLE RIGHTS UNDER APPLICABLE LAW ARE NOT EXCLUDED.

11. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DEVLAUNCH AND HYPERCAT STUDIO LLC WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING FROM BUILD. THEIR TOTAL AGGREGATE LIABILITY ARISING FROM BUILD OR THIS LICENSE WILL NOT EXCEED THE AMOUNT LICENSEE PAID FOR THE SPECIFIC BUILD LICENSE. THIS SECTION DOES NOT LIMIT LIABILITY THAT APPLICABLE LAW DOES NOT ALLOW TO BE LIMITED.

12. GENERAL TERMS

This license, the product-specific purchase description, and the DevLaunch Terms of Service form the agreement for Build. This license controls source-code use if those documents conflict. Third-party licenses continue to control their own materials. Refunds and payment disputes are governed by the policy disclosed at purchase, applicable law, payment-network rules, and Whop's terms; nothing here waives non-waivable rights.

Texas law governs without regard to conflict-of-law rules, except where applicable consumer law requires otherwise. Failure to enforce a term is not a waiver. Invalid terms will be limited only as necessary, and the rest remains effective. Licensee may not assign this license without DevLaunch's prior written consent; DevLaunch may assign it with a sale or reorganization of the relevant business. Amendments for a completed purchase require a written agreement.
